TERMS OF SERVICE

Welcome to GoPublica! By creating an account or using any of our services, you agree to be bound by the following Terms of Service ("Terms"). Please read them carefully.
As used in these Terms, "we", "us", "our", and "GoPublica" refer to GoPublica Andrii Knapp, registered in the Republic of Poland, NIP: 6772525332, reachable at support@gopublica.com. "You" or "Merchant" means the business entity, commercial organization, or sole proprietor registering for or using our Services.
1. B2B EXCLUSIVE USE
GoPublica is a Business-to-Business (B2B) SaaS platform designed exclusively for commercial, business, professional, or organizational use. By creating an account, you represent and warrant that:
- You are acting as a business entity, entrepreneur, or sole proprietor;
- You are not registering for personal, household, or family purposes;
- The person accepting these Terms has the legal authority to bind the organization they represent.
You expressly acknowledge that EU consumer protection laws, including the right of withdrawal under Directive 2011/83/EU, do not apply to this agreement.
2. ACCOUNT REGISTRATION AND FREE TRIAL
2.1. To access the Services, you must register for an account by providing your full legal name, valid business email address, and a valid payment method (credit or debit card).
2.2. Free Trial. GoPublica offers a 30-day free trial period ("Free Trial") for new accounts. A valid payment method is required to activate the Free Trial. You will not be charged during the Free Trial period.
2.3. Unless you cancel your subscription before the end of the Free Trial, your subscription will automatically activate on day 31, and your payment method will be billed accordingly. Billing will then recur every 30 days.
2.4. You are responsible for keeping your account credentials secure. GoPublica is not liable for any loss or damage resulting from unauthorized access to your account due to your failure to maintain the security of your credentials.
3. FEES, PAYMENT, AND NO REFUNDS
3.1. Subscription fees are billed in advance in 30-day intervals. All payments are processed automatically via our third-party payment processor, Stripe.
3.2. All fees are stated exclusive of any applicable taxes (including VAT). If you are a VAT-registered business in the EU, you are responsible for providing a valid VAT ID during registration for correct tax treatment. Where applicable, GoPublica may add VAT to the invoiced amount in accordance with the laws of the relevant jurisdiction.
3.3. No Refunds. All payments made to GoPublica are strictly non-refundable. GoPublica does not provide prorated refunds, credits, or partial refunds for unused periods, feature sets, or early cancellations. Your sole remedy for dissatisfaction with the Services is to cancel your subscription.
4. LATE PAYMENT AND SUSPENSION
4.1. If our payment processor is unable to process payment on your scheduled Billing Date, your account will enter a 7-day grace period ("Grace Period"). During this time, we will notify you via email and you must update your payment information and settle the outstanding balance.
4.2. If the outstanding balance is not settled within 7 days of the initial failed billing attempt, GoPublica reserves the right to immediately:
- Suspend your access to the Admin Panel;
- Disable your booking widgets and client-facing storefronts.
4.3. If your account remains unpaid for 60 consecutive days following the first failed payment attempt, GoPublica reserves the right to permanently terminate your account and delete all associated data. You will not be entitled to a refund of any kind.
5. INTELLECTUAL PROPERTY
5.1. GoPublica's IP. All software, algorithms, designs, visual elements, trademarks, and branding associated with the GoPublica platform remain the exclusive property of GoPublica Andrii Knapp. These Terms do not grant you any ownership rights in the platform.
5.2. Your Content. You retain ownership of all data, content, and materials that you upload to the platform, including your business information, booking schedules, and customer records ("Your Content"). By using the platform, you grant GoPublica a limited, non-exclusive, royalty-free license to host, store, and process Your Content solely for the purpose of delivering the Services to you.
5.3. Feedback. If you submit suggestions, ideas, or feedback about the platform, you acknowledge that GoPublica may use such feedback without any obligation to compensate you or keep it confidential.
6. ACCEPTABLE USE
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the platform;
- Use automated scripts, bots, or scrapers to access or monitor the platform;
- Attempt to bypass, disable, or interfere with any security features of the platform;
- Use the Services to engage in any unlawful, fraudulent, or harmful activity;
- Resell, sublicense, or otherwise make the Services available to third parties without GoPublica's prior written consent.
You are solely responsible for all content and data you upload, manage, or transmit through the platform.
7. THIRD-PARTY SERVICES
The platform integrates third-party services including but not limited to Stripe (payments), EmailJS (transactional email delivery), Vercel (frontend hosting), and Google Analytics (website analytics). These third-party services are governed by their own terms and privacy policies. GoPublica does not control these services and is not liable for any actions, failures, or data practices of third-party providers. By using GoPublica, you acknowledge that your use of the platform may involve data being processed by these third-party subprocessors as described in our Privacy Policy.
8. "AS-IS" SERVICE AND LIMITATION OF LIABILITY
8.1. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UPTIME, SECURITY, OR ERROR-FREE OPERATION.
8.2. GOPUBLICA DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE OF ERRORS;
- ANY DATA STORED ON THE PLATFORM WILL BE FREE FROM LOSS OR CORRUPTION;
- THE RESULTS OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.
8.3. GOPUBLICA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF RESERVATIONS, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICES.
8.4. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOPUBLICA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO GOPUBLICA DURING THE ONE (1) CALENDAR MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. DATA PROCESSING
GoPublica processes personal data of your end-customers (such as booking names, contact details, and reservation history) strictly on your behalf and in accordance with your instructions, acting as a Data Processor under the GDPR. You, as the Merchant, act as the Data Controller for your end-customers' data and are solely responsible for ensuring a valid legal basis for such processing, providing required notices to your customers, and complying with all applicable data protection obligations. For details on how GoPublica handles data, please refer to our Privacy Policy, which forms an integral part of these Terms.
10. MODIFICATIONS TO TERMS
GoPublica reserves the right to update or modify these Terms at any time. For changes that materially affect your rights or obligations, we will provide at least 14 days' advance notice via email to the address associated with your account or through a notice in the Admin Panel. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the effective date of the changes.
GoPublica may also change its fees at any time, with at least 30 days' advance notice.
11. TERM AND TERMINATION
11.1. These Terms commence on the date of your completed account registration and continue until terminated by either party.
11.2. You may cancel your subscription at any time by contacting us at support@gopublica.com or through the account settings in the Admin Panel. Cancellation takes effect at the end of the current billing cycle. No refunds will be issued for the remaining period.
11.3. GoPublica may suspend or terminate your account at any time, without prior notice, if:
- You breach any provision of these Terms;
- You fail to pay outstanding fees as described in Section 4;
- We are required to do so by law.
11.4. Upon termination, your access to the Admin Panel and all client-facing features will be deactivated. Your data will be retained for up to 60 days before permanent deletion, in accordance with our Privacy Policy.
12. GENERAL CONDITIONS
12.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to conflict of law principles.
12.2. Jurisdiction. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Poland.
12.3. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and GoPublica with respect to the Services and supersede all prior agreements or understandings.
12.4. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.5. No Waiver. GoPublica's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
12.6. Assignment. GoPublica may assign these Terms or any rights hereunder without your consent. You may not assign your rights or obligations under these Terms without GoPublica's prior written consent.
